Client Terms

These terms apply when you engage Jovian Studio for a project, in addition to our general Terms of Use.

Scope of Services

Jovian Studio (Shourya Gupta) offers digital services that may include website design and development, landing pages, conversion rate optimization, SEO, AI integrations and automation, WhatsApp integrations, lead-generation systems, analytics, consulting, and other digital services agreed in writing. These Client Terms apply to anyone who engages us for such services, in addition to (not instead of) our general Terms of Use.

Proposals & Statements of Work

Only the services, deliverables, timelines and prices explicitly included in the applicable proposal, quotation, invoice, or Statement of Work (“SOW”) are included in a project. General descriptions on this website are illustrative of what we offer and do not by themselves define the scope of any specific engagement.

Payments

Payment terms are specified in the applicable proposal, invoice, or SOW and may vary by project. In general:

  • A deposit or upfront payment may be required before work begins.
  • Work may be paused or begin only after required payment is received.
  • Remaining payments follow the schedule set out in the applicable agreement.
  • Third-party costs (see Section 07) may be billed separately from our fees.

Project Timelines

Timelines provided verbally, in a proposal, or in an SOW are estimates. Actual delivery depends on factors including your feedback turnaround, content and asset delivery, access to necessary credentials, third-party service availability, and any changes to scope requested during the project.

Revisions

Revisions are limited to what is specified in the applicable proposal or SOW. Requests beyond that allowance, or changes to agreed scope, may incur additional fees, which we will quote before proceeding.

Client Responsibilities

To keep a project on track, you agree to provide, in a timely manner:

  • Accurate information about your business and goals
  • Content, copy, logos and images needed for the project
  • Access credentials (hosting, domain, third-party accounts) where required
  • Required internal approvals
  • Timely feedback at each review stage

Delays in providing the above may affect the project timeline and are not attributable to us.

Third-Party Services & Costs

Projects often depend on third-party services -- hosting, domain registration, APIs, SaaS subscriptions, CRM systems, email services, WhatsApp or other communication platforms, payment processors, and similar tools. Costs for these services are separate from our fees unless explicitly stated otherwise in the applicable proposal or SOW, and you are responsible for maintaining any accounts and subscriptions required for your project to keep running.

Intellectual Property

Ownership and licensing of project materials depends on the applicable proposal or SOW and on payment being received in full, and generally works as follows:

  • Client-provided materials (your logos, content, images, brand assets) remain yours.
  • Custom project deliverables created specifically for your project are licensed or assigned to you as set out in the applicable proposal or SOW, once payment for them has been received in full.
  • Pre-existing Jovian Studio tools and components (internal frameworks, code libraries, or templates we've built prior to or outside your project) remain our property and are licensed to you for use within your project, not sold outright, unless explicitly agreed otherwise.
  • Open-source software and third-party libraries used in a project remain governed by their own respective licenses.
  • Third-party assets (stock imagery, fonts, plugins) remain subject to the license under which they were obtained.

We do not represent that all code or assets produced in a project automatically and unconditionally transfer to the client -- ownership and licensing terms are set out in the applicable agreement.

Portfolio Rights

Unless you tell us otherwise in writing, we may showcase completed work (including screenshots, descriptions and general outcomes) in our portfolio, case studies, and marketing materials.

Confidentiality

We treat non-public information you share with us in connection with a project as confidential, and will not disclose it to third parties except as needed to deliver the project (for example, to a relevant third-party service provider), with your consent, or where required by law.

Cancellation & Termination

Either party may terminate a project as set out in the applicable proposal or SOW, or, where no specific term is agreed, by written notice to the other party. On termination, you remain responsible for fees for work completed and costs incurred up to the termination date.

Payments Already Made

Refunds, if any, are not automatic and depend on the terms of the applicable proposal or SOW and on applicable law. Where work has already been performed, fees for that work are generally non-refundable.

Warranty & Post-Launch Support

Any post-launch support, bug-fix, or warranty period is project-specific and will be defined in the applicable proposal or SOW. Where no such period is specified, support beyond project completion is not included and may be arranged separately.

Limitation of Liability

To the fullest extent permitted by applicable law, our total liability arising from a project is limited to the fees paid to us for that project. Neither party is liable to the other for indirect, incidental, or consequential damages. Nothing in these Client Terms excludes liability that cannot be excluded under applicable law.

No Guaranteed Results

We do not guarantee increased revenue, a specific number of leads, a specific conversion rate, search rankings, advertising performance, or business growth. We describe the mechanisms and potential benefits of our work, not guaranteed outcomes -- see our Disclaimer.

Governing Law

These Terms are governed by the applicable laws governing the relationship between the parties, subject to any mandatory provisions of applicable law.

Any dispute arising from these Terms shall be handled by the courts or other competent forum having jurisdiction under applicable law, unless the parties agree otherwise in writing.

This section does not constitute jurisdiction-specific legal advice and will be updated once the operating entity and jurisdiction are formally established.
